Terms of Service

These Terms of Service ("Terms") govern your access to and use of Senchal, a Chief of Staff AI Agent service operated by Modularity Labs, Hyderabad, Telangana, India ("Modularity Labs", "we", "us", "our"). By accessing senchal.io or using the Senchal service, you agree to be bound by these Terms.

1. Acceptance of Terms

By using Senchal, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using Senchal on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.

We may update these Terms from time to time. We will notify you of material changes by email or via the service. Continued use after notice constitutes acceptance of the updated Terms.

2. The Service

Senchal is a Chief of Staff AI Agent for founder-CEOs running fast-growing teams. The service enables delegation, automated follow-up, status collection, and team accountability through AI-powered agents delivered via a web and mobile interface.

We reserve the right to modify, suspend, or discontinue any part of the service at any time. We will provide reasonable notice of material changes or discontinuation.

3. Accounts

To use Senchal, you must create an account. You are responsible for:

• keeping your account credentials confidential;
• all activity that occurs under your account, whether or not you authorised it;
• notifying us immediately of any unauthorised use at privacy@senchal.io.

You must be at least 18 years of age to use Senchal. Accounts are provided on a per-company basis — one account per organisation.

4. Subscription and Payment

Senchal is offered on a monthly subscription basis, priced by team size. Fees are set out on our pricing page and are subject to change with reasonable advance notice.

• Billing: subscriptions are billed monthly in advance. Annual billing is available at a discount.
• Automatic renewal: subscriptions renew automatically at the end of each billing period unless cancelled.
• Payment: you authorise us to charge your nominated payment method on the billing date. All fees are exclusive of applicable taxes, which are your responsibility.
• Failed payment: failure to pay may result in suspension or termination of your account.
• Fee changes: we will provide at least 30 days written notice of any fee changes. Continued use after notice constitutes acceptance.

5. Cancellation

You may cancel your subscription at any time with a minimum of 7 days notice before the end of your current billing period. Your access will continue until the end of the paid period. We do not offer pro-rated refunds for partial months.

6. Refunds

Senchal is a digital service. All sales are final. We do not offer refunds except where required by applicable law or in the event of a verified technical error on our part. If you believe you are owed a refund due to a technical issue, contact us at privacy@senchal.io with details.

7. Acceptable Use

You agree to use Senchal only for lawful purposes and in accordance with these Terms. You must not:

• use the service in any way that violates applicable laws or regulations;
• attempt to gain unauthorised access to any part of the service or its infrastructure;
• reverse-engineer, decompile, or attempt to extract the source code of the service;
• resell, sublicense, or otherwise commercialise access to the service without our written consent;
• transmit any harmful code, malware, or disruptive content through the service;
• use the service to harass, harm, or discriminate against any individual or group.

We reserve the right to suspend or terminate accounts that violate these terms, without notice and without liability.

8. Your Data

You own all data, content, and information you input into Senchal ("Service Data"). We process your Service Data only to provide the service and as described in our Privacy Policy.

• You are responsible for the accuracy and legality of your Service Data.
• You grant us a limited licence to process your Service Data solely to operate and improve the service.
• We do not use your Service Data to train AI models without your explicit consent.
• On termination of your account, we will delete your Service Data within 30 days unless required by law to retain it.

9. Data Security

On the Managed Cloud plan, your data is logically isolated from other customers and protected by standard technical and organisational security measures including TLS encryption in transit and access controls.

On the Self-Deployed plan, you are responsible for the security of your own infrastructure. We provide the software and configuration; you manage the environment.

10. Intellectual Property

All intellectual property rights in Senchal — including the software, design, agents, and brand — belong to Modularity Labs. These Terms grant you a limited, non-exclusive, non-transferable licence to use the service for your internal business purposes only.

You retain all intellectual property rights in your Service Data. Nothing in these Terms transfers ownership of your data to us.

11. Confidentiality

Each party agrees to keep the other's confidential information private and not to disclose it to third parties without consent, except as required by law. This obligation survives termination of these Terms.

12. Warranties and Disclaimers

We provide Senchal on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the service, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.

AI-generated outputs are provided for informational purposes. You are responsible for reviewing and acting on any information provided by Senchal's agents.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Modularity Labs shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with your use of the service, including but not limited to:

• loss of profits, revenue, or business;
• loss or corruption of data;
• business interruption;
• loss of goodwill or reputation.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded by law.

14. Indemnity

You agree to indemnify and hold Modularity Labs, its directors, officers, employees, and agents harmless from any claims, damages, losses, or costs (including legal fees) arising from your use of the service, your breach of these Terms, or your violation of any applicable law.

15. Termination

Either party may terminate these Terms at any time. We may terminate or suspend your account immediately if you breach these Terms or fail to pay fees. On termination:

• your licence to use the service ends immediately;
• we will delete your Service Data within 30 days;
• any outstanding fees remain payable.

We will provide 3 months notice if we discontinue the service entirely. If you have prepaid for a period beyond the discontinuation date, we will provide a pro-rated refund.

16. Dispute Resolution

We hope to resolve any disputes amicably. If a dispute arises, the parties will attempt to resolve it through good-faith negotiations within 30 days. If negotiations fail, disputes shall be resolved through binding arbitration in Hyderabad, Telangana, India, conducted in English.

17. Governing Law

These Terms are governed by the laws of India. Any disputes not resolved through arbitration shall be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana.

18. General

• Entire agreement: these Terms and our Privacy Policy constitute the entire agreement between you and Modularity Labs regarding Senchal.
• Severability: if any provision is found unenforceable, the remaining provisions remain in full force.
• No waiver: failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: you may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.
• No partnership: nothing in these Terms creates a partnership, agency, or employment relationship between the parties.
